WHEREAS:
1. PURPOSE: The Sole Agent agrees to sell and transfer ownership of the VOLKIO GERMAN LUBE franchise to the Buyer, and the Buyer agrees to purchase and acquire the franchise, including all rights, responsibilities, and obligations associated with it.
2. PRODUCTS: The Sole Agent shall transfer to the Buyer all Volkio German Lube lubricant products, including related accessories, merchandise, and branding materials.
3. POINT OF SALE DISPLAY AND VISUAL MERCHANDISING: The Buyer shall place Volkio German Lube products in designated retail stores within the territory. The point of sale displays and shelving for these products shall be customized by SOLE AGENT’s team to reflect the Volkio German Lube brand theme.
4. CUSTOMIZED DISPLAY COSTS: The costs of customizing the point of sale displays and shelving for Volkio German Lube products, as described inPOINT OF SALE DISPLAY AND VISUAL MERCHANDISING, shall be borne by the Buyer as part of the franchise purchase.
5. PAYMENT TERM: The Buyer shall make a 100% advance payment of the total purchase price for the Volkio German Lube franchise in AUD upon signing this Agreement.
6. QUALITY CONTROL: The Seller Sole Agent warrants the quality of Volkio German Lube Lubricant products at the time of sale. The Buyer shall ensure proper storage, handling (in accordance with industry standards), and distribution of the products to maintain their integrity.
7. QUALITY ASSURANCE: The Seller Sole Agent warrants that all Volkio German Lube products distributed under this franchise agreement hold valid API authorization, comply with Australian regulations, and pass regular laboratory testing by accredited Australian facilities.
8. LIABILITY AND INDEMNITY: The Seller (Sole Agent) shall be liable for product defects, contamination, and non-compliance with manufacturer specifications, while the Buyer shall assume liability for damages or losses arising from storage, handling, distribution, sales, and marketing activities upon transfer of ownership.
9. CONFIDENTIALITY: The Buyer and Seller (Sole Agent) agree to maintain confidentiality of each other’s proprietary information, trade secrets, and business practices, both during and after the franchise sale.
10. TERMINATION: Either party may terminate this Agreement with [xyz]written notice to the other party
